By accessing or using the website automationsolutions.ca (the "Website") and the services provided by Automation Solutions ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Website or services.
Automation Solutions provides business process automation, AI chatbot development, workflow automation, and related consulting services (collectively, the "Services") to businesses primarily in Newfoundland and Labrador, Canada. The specific scope, deliverables, timeline, and pricing for Services will be detailed in separate service agreements or statements of work.
You may use the Website for lawful purposes only and in accordance with these Terms. You agree not to use the Website:
If you create an account or receive login credentials for any part of our Services, you are responsible for maintaining the confidentiality of your account information and password. You agree to notify us immediately of any unauthorized use of your account.
The specific Services provided will be outlined in a separate service agreement, statement of work, or proposal (collectively, "Service Agreement"). The Service Agreement will detail the scope, deliverables, timeline, pricing, and payment terms for the project.

Most projects include a reasonable number of revisions as specified in the Service Agreement. Additional revisions or changes to the project scope may result in additional fees, which will be communicated and agreed upon before work begins.

Upon full payment for Services, you will own the custom automation solutions, code, and deliverables created specifically for your project. However, this does not include:
We retain ownership of our proprietary tools, templates, code libraries, and methodologies. We reserve the right to use general knowledge, skills, and experience gained from your project in future work for other clients.
Unless otherwise agreed in writing, we reserve the right to display your project in our portfolio and marketing materials, including describing the scope of work performed. We will not disclose confidential business information without your consent.
We will maintain the confidentiality of any proprietary or confidential information you provide to us during the course of providing Services. This obligation survives the termination of any Service Agreement. If more specific confidentiality requirements are needed, a separate Non-Disclosure Agreement can be executed.
We warrant that Services will be performed in a professional and workmanlike manner consistent with industry standards. We will use commercially reasonable efforts to ensure that delivered solutions function as described in the Service Agreement.
Unless otherwise specified, most projects include 90 days of support from the date of final delivery. During this period, we will address and fix any bugs or issues that arise from our work at no additional cost. Support does not include new features, enhancements, or issues caused by modifications made by you or third parties.
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS:

You agree to indemnify, defend, and hold harmless Automation Solutions and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
You may terminate a Service Agreement by providing written notice. If you terminate before project completion, you will be responsible for payment for all work completed up to the termination date, plus any non-refundable expenses incurred.
We may terminate a Service Agreement if:
In the event of any dispute arising from these Terms or any Service Agreement, the parties agree to first attempt to resolve the dispute through good faith negotiation. If negotiation fails, the dispute shall be resolved through mediation before pursuing litigation. Any legal action must be brought in the courts of Newfoundland and Labrador, Canada.
These Terms shall be governed by and construed in accordance with the laws of the Province of Newfoundland and Labrador and the federal laws of Canada applicable therein, without regard to conflict of law principles.
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on the Website with a new "Last Updated" date. Your continued use of the Website or Services after changes constitutes acceptance of the modified Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
These Terms, together with any Service Agreement, constitute the entire agreement between you and Automation Solutions regarding the use of the Website and Services, and supersede all prior agreements and understandings.
